If Microsoft REALLY wants to avoid being double taxed on its overseas earnings, the corporate holding company (i.e. the consolidated parent) has to move offshore, along with its board, executives, and other key decision making function.Microsoft has started moving more and more of it's key development out of the U.S. Due to the inability to bring in foreign software engineers from the H-1B cap, MSFT moved a lot of its development to British Columbia as Canada doesn't have hard caps on highly skilled immigrants.So government policy is encouraging in so many ways for companies to leave the U.S.
